Terms and licence conditions

These terms are a translation for your convenience. In case of discrepancies, the German version prevails.

1. Scope and provider

  1. These terms and conditions apply to all contracts for licences for the software “Omniviu” that you conclude via this website.
  2. The provider and your contractual partner is: design frischgepresst, Landhausstrasse 22, 69115 Heidelberg, Germany (“we”).
  3. We sell to consumers and businesses. A consumer is anyone who concludes the contract for purposes that are predominantly outside their trade, business or profession (Section 13 German Civil Code, BGB). A business is anyone acting in the exercise of their trade, business or profession (Section 14 BGB).
  4. Deviating terms of businesses only apply if we expressly agree to them.

2. Subject of the contract

  1. Omniviu is a plugin for WordPress. With your purchase you receive a licence for the selected term. It includes the software download, a licence key, updates (new versions, bug fixes, security updates) and support to the extent of the selected plan, each for the number of websites the plan provides. The plan description at the time of the order applies.
  2. Local installations and test environments (e.g. localhost, addresses ending in .local or .test, staging environments) don’t count towards the number of websites.
  3. The software is licensed under the GNU General Public License (GPL), version 2 or later. Your rights to use, modify and distribute the software result from the GPL; these terms don’t restrict them. The paid contract covers provision, updates and support.
  4. The software keeps running after the term ends. You then no longer receive updates or support.
  5. We list the technical requirements (versions of WordPress, PHP and database) on the website and in the documentation.

3. Conclusion of the contract

  1. The presentation of the plans on the website is not a binding offer but an invitation to order.
  2. You choose a plan, enter your details at checkout and submit the order with the “Buy now” button. Before that, you can review and correct all details. By submitting, you make a binding offer.
  3. The contract is concluded when we confirm your order by email. The confirmation contains your licence key and download link.
  4. The contract languages are German and English. We store the contract text. You’ll receive the order details by email; you can access, save and print these terms on this page at any time.

4. Prices and payment

  1. The prices at the time of the order apply. All prices are final prices in euros including statutory VAT. For businesses with a valid VAT ID in another EU member state, the reverse charge procedure applies.
  2. You pay with one of the payment methods offered at checkout. Payment is due when you order and, for renewals, at the start of each new term or billing year.
  3. Renewals are charged at the price you paid when ordering.
  4. You’ll receive the invoice by email or in your customer account.

5. Term, renewal and cancellation

  1. The first term is one year from the conclusion of the contract. You can cancel at any time with effect from the end of the first term.
  2. Businesses: Unless cancelled, the contract renews for one further year at a time. You can cancel at any time with effect from the end of the current term.
  3. Consumers: Unless cancelled, the contract continues for an indefinite period after the first term and can be cancelled at any time with one month’s notice. We continue to bill annually in advance and refund amounts already paid for the period after the contract ends on a pro-rata basis.
  4. We remind you by email at least 14 days before each renewal or annual billing.
  5. You can cancel via the link “Cancel contracts here” at the bottom of every page of the website (go to the form), by email to info@omniviu.app or in writing to our address.
  6. The right to extraordinary termination for good cause remains unaffected.

6. Upgrades

You can switch to a larger plan at any time. We credit the amount already paid on a pro-rata basis. You’ll see the upgrade price at checkout before you order.

7. Money-back guarantee

In addition to your statutory rights, we offer a voluntary money-back guarantee: 30 days from the first purchase and 14 days from an automatic renewal, no reason needed. The refund ends the licence. Details are in the withdrawal policy.

8. Right of withdrawal

As a consumer, you have a statutory right of withdrawal. Details and the model withdrawal form are in the withdrawal policy. The right of withdrawal expires early if you agree at checkout that we deliver immediately and acknowledge that you thereby lose your right of withdrawal.

9. Defects

The statutory rights regarding defects apply. For consumers, this includes in particular the rules on digital products (Sections 327 et seq. BGB), including the obligation to provide updates necessary to keep the product in conformity with the contract.

10. Liability

  1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent we have given a guarantee.
  2. In the case of slight negligence, we are only liable for breach of an essential contractual obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely. In this case, liability is limited to the foreseeable damage typical for the contract.
  3. We are only liable for loss of data to the extent that it would also have occurred with regular backups appropriate to the risk. Please back up your WordPress installation regularly.
  4. These limitations also apply in favour of our employees and agents.

11. Data protection

How we handle your data is described in our privacy policy.

12. Dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

13. Final provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law only applies insofar as it doesn’t deprive you of the protection of mandatory provisions of the law of the country in which you have your habitual residence.
  2. If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our registered office.
  3. Should any provision of these terms be invalid, the rest of the contract remains valid. The statutory provisions replace the invalid provision.
